In this process, apostille endorsement, consular or diplomatic legalization and Turkish translation may come up.

However, it would be incorrect to state that the same procedures are mandatory for every foreign document. The country where the document was issued, relevant international conventions, the type of document, and the specific rules of the institution to be applied to must be evaluated together.

This article discusses the general procedure that can be followed for the use of foreign official documents in Turkey within the framework of the differences between apostille and consular legalization, translation procedures, powers of attorney, company documents, and foreign court judgments.

1. Legal Basis for the Use of Foreign Official Documents in Turkey

The use of a document issued by a foreign authority as an official document in Turkey may require the document to be duly authenticated. One of the main regulations on this matter is Article 224 of the Code of Civil Procedure (HMK) No. 6100.

Article 224 of the HMK governs the rule regarding the legalization of official documents prepared by foreign state authorities in order for them to possess the character of official documents in Turkey. Special provisions contained in international conventions to which Turkey is a party are reserved. Therefore, the traditional consular legalization chain does not need to be applied in every case.

When using a foreign document in Turkey, the following questions must first be answered:

Does the document qualify as an official document?

In which country and by which authority was the document issued?

Is there a convention affecting the apostille or legalization procedure between Turkey and the country where the document was issued?

Will the document be submitted to a court, a notary public, a land registry office, or another institution?

Is a Turkish translation of the document and further authentication of the translation required?

Without answering these questions, it should not be assumed that merely obtaining an apostille or having a notarized translation made will be sufficient for every transaction.

2. What is an Apostille Endorsement?

An apostille is a certification issued pursuant to the Hague Convention Abolishing the Requirement of Legalisation for Foreign Public Documents dated October 5, 1961. Where the Convention applies, an apostille replaces the traditional diplomatic or consular legalization process.

An apostille serves to verify the authenticity of the signature, the capacity in which the person signing acted, and, where applicable, the identity of the seal or stamp on the document. It does not, by itself, prove the accuracy of the document's content or the compliance of the transaction within the document with Turkish law.

2.1. For which documents can an Apostille be used?

Within the scope of Article 1 of the Hague Convention, the following types of public documents are generally subject to the apostille procedure:

Documents originating from courts and judicial authorities,

Public documents issued by administrative authorities,

Notarial acts,

Official annotations verifying details such as signatures or records on documents signed by private individuals.

It excludes documents executed by administrative, diplomatic, or consular agents, as well as certain administrative documents relating directly to commercial or customs operations. Therefore, it should not be assumed that an apostille can be obtained for every invoice, commercial document, or consular certificate.

In terms of the type of document and applicable exceptions Explanations in the Apostille section of the Hague Conference on Private International Law may be examined.

2.2. In which countries is an Apostille valid?

The applicability of the apostille procedure depends on the status of the convention in force with respect to both the country where the document was issued and Turkey, and whether the document in question falls within the scope of the convention. Since countries' accession statuses to the convention may change over time, rather than relying on a fixed list of countries, the current table of contracting states to the Apostille Convention must be verified.

Furthermore, even among contracting states to the convention, a special international treaty or a different acceptance procedure may exist regarding a specific document or transaction. Therefore, the mere inclusion of a country in the list of contracting states does not mean that the same procedure will apply to every document.

3. Consular Legalization When an Apostille Does Not Apply

In cases where the document cannot benefit from the apostille regime, consular or diplomatic legalization procedures may be required for the document to be used in Turkey. The procedure to be followed may vary depending on the practice of the country where the document was issued and the regulations between Turkey and that country.

In the traditional legalization process, generally the following stages may apply:

Issuance of the document: The document must be issued or duly certified by the competent authority in the respective country.

Local authority verification: To verify the signature and seal of the authority that issued the document, an application is made to the competent legalization authority of the relevant country.

Ministry of Foreign Affairs or competent authority certification: Depending on the practice of the country where the document was issued, the approval of the ministry of foreign affairs or another authorized institution is obtained.

Certification by the Turkish diplomatic mission: If required by the relevant procedure, the legalization of the document by Turkish consular authorities is completed.

These steps may not be identical for every country and document. If the document is brought to Turkey before the chain of legalization is completed, it must also be investigated whether it is possible to perform a complementary procedure before foreign representations in Turkey or Turkish authorities.

With respect to notarial acts executed abroad Notary Law No. 1512 and applicable international conventions, if any, must be taken into consideration. Article 195 of the Law contains provisions concerning the certification of notarial acts performed in foreign countries.

4. Translation of Foreign Documents into Turkish and Certification

A Turkish translation may be required for a document drafted in a foreign language to be used in Turkey. Whether the translation must be performed by a sworn translator, approved by a notary public, or attested by a consulate must be determined in accordance with the rules of the institution to which the document will be submitted and the nature of the specific transaction.

4.1. What factors must be taken into consideration when preparing a translation?

All pages, annexes, and records on the reverse side of the document, if any, must be checked.

Whether the apostille endorsement, seals, stamps, and legalization records should be included in the translation must be evaluated according to the requirements of the relevant institution.

Personal names, dates, document numbers, and authority names must be consistent with the original document.

If the submission of the original document or a certified copy is required, it should not be assumed that the transaction can be processed with only a scanned copy.

In cases where notarization is requested, the translator's signature and the format in which the translation is presented must comply with the relevant notary practice.

Just as there is no general rule that every translation must be notarized by a Turkish notary public, it cannot be assumed that every institution will accept a text prepared solely with the signature of a sworn translator. The current document requirements of the institution to which the application will be made must be checked in advance.

5. Application According to Document Types

5.1. Powers of attorney executed abroad

In order to grant a power of attorney to an attorney in Turkey, conduct a real estate transaction, or exercise representation authority on behalf of a company, the power of attorney executed abroad must meet the formal requirements.

Where applicable, individuals residing abroad may utilize the notary services of diplomatic or consular representations of the Republic of Türkiye. Alternatively, the document may be executed before a competent notary or authority in the foreign country, and the relevant apostille or legalization procedure must be completed.

Special authority, photographs, signatures, or other formal requirements may arise in powers of attorney to be used in real estate transfers, the establishment of mortgages, or specific lawsuits. Therefore, when drafting a power of attorney, not only the apostille procedure but also the content and formal conditions required for the transaction in which the document will be used in Turkey must be verified.

With respect to litigation and enforcement proceedings in Türkiye Code of Civil Procedure and the provisions of relevant special laws must be taken into consideration.

5.2. Foreign court judgments: Recognition and enforcement

For a foreign court judgment to produce legal consequences in Turkey, it may require a recognition or enforcement procedure depending on the nature of the judgment and the requested outcome. One of the fundamental regulations in this field is the Code on Private International Law and Procedural Law No. 5718 (MÖHUK)..

Article 53 of MÖHUK governs the documents that must be submitted with an enforcement request. Generally, this entails the submission of the duly certified original or copy of the foreign court decree, the document showing that the judgment is final, and their duly certified translations.

However, it should not be concluded from this provision that an apostille must be obtained in the exact same manner in every file. The certification procedure of the document must be determined within the framework of the conventions between the relevant country and Turkey, as well as other applicable rules.

For further information regarding the recognition or enforcement of a foreign court judgment in Turkey, article regarding the effects of divorce judgments rendered in a foreign country within Turkey may be examined.

5.3. Company documents and trade registry documents

In order for a foreign company to open a branch in Turkey, conduct commercial transactions, prove representation authority, or be a party to litigation, documents demonstrating the company's existence and representation authority may be required. These documents may include a certificate of activity, trade registry record, articles of association, or other official documents demonstrating representation authority.

Whether an apostille or other certification procedures are required must be determined by taking into account the country where the document is issued, the type of document, and the rules of the institution to be applied to. Different legalization procedures or exceptions may apply to certain documents.

Does an apostille prove that the contents of the document are accurate?

No. An apostille primarily verifies the authenticity of the signature, the capacity in which the person signing acted, and, where applicable, the identity of the seal or stamp. It does not solely guarantee the accuracy of the document's content or its compliance with Turkish law.

Is a Turkish translation required for an apostilled document?

If the document is not in Turkish, a Turkish translation may be required depending on the transaction for which it will be used in Turkey. Whether the translation must be notarized or certified by a consulate should be verified according to the rules of the relevant institution.

Can a power of attorney issued in a foreign country be used in Turkey?

Yes, it can be used provided that the necessary formal and legalization requirements are met. Depending on the country where the document was issued, an apostille or consular legalization may be required. In addition, the content of the power of attorney, its special powers, and the formal requirements for the transaction in which it will be used must be examined.

Is an apostille sufficient for a foreign court judgment to be valid in Turkey?

It is not always sufficient. If the recognition or enforcement of the judgment in Turkey is required, MÖHUK and the relevant procedural provisions shall apply. An apostille or other certification procedure does not replace the other conditions required for recognition or enforcement.

Must the certificate of finalization of the foreign court judgment also be submitted?

In recognition or enforcement applications, the document showing that the judgment is final may be of importance. The required documents must be checked pursuant to Article 53 of MÖHUK and the nature of the specific judgment.

Can an e-Apostille be used in Turkey?

Electronic apostille applications are evaluated within the framework of the system of the country where the document was issued and the acceptance conditions in the country where the document will be used. The verifiability of the document and the acceptance conditions of the authority to be applied to must be checked prior to the transaction.

Is there a validity period for an apostille annotation?

The Apostille Convention does not prescribe a general expiration period for an apostille certificate. However, there may be special conditions depending on the currency of the underlying document, the rules of the requesting institution, or the nature of the document. Therefore, whether the document and the apostille will be accepted for the specific transaction must be evaluated separately.

Conclusion

The procedure to be followed for a document issued abroad to be used in Turkey varies depending on the type of document, the country of issuance, applicable international conventions, and the authority to which the document will be submitted. Apostille, consular legalization, and translation procedures are not always mutually interchangeable. Therefore, legislation, country practice, and the current document requirements of the relevant institution must be checked together prior to the transaction.

The relevant articles on the website regarding foreign companies, inheritance proceedings, and other legal processes containing foreign elements may also be reviewed: inheritance rights of foreigners, establishment of branches or representative offices of foreign NGOs in Turkey and required documents for foreign work permit applications.

Author Information

Atty.
